SimX is a fast-growing startup bringing virtual and augmented reality to medical simulation training. Our product is the first comprehensive professional-grade VR medical simulation system, and it is used by our customers to train physicians, nurses, paramedics and other allied health professionals. Since our product has become generally available, demand has exploded and we're in need of new team members to move our product forward.

THE JOB
We are seeking a highly skilled and specialized General Counsel to join our team as in-house counsel. In this role, you will be responsible for managing complex legal matters and projects, ensuring the legality of our commercial transactions, and providing expert legal guidance on the company’s rights and obligations.
As General Counsel, you will play a pivotal role in protecting our organization from legal risks through comprehensive research and analysis. You will formulate company policies and positions on legal matters while ensuring compliance with relevant laws and regulations. You will be engaged in negotiating agreements with customers, commercial partners, and governmental partners, and balance business priorities, legal requirements, and stakeholder interests. Additionally, you will be involved in structuring, drafting, and reviewing legal documents and representing the company in legal proceedings, and act as a corporate signatory. You will work with and manage the company’s relationships with outside counsel when necessary to accomplish the company’s legal goals.
To excel in this position, you should have a strong background in corporate law, exceptional negotiation and communication skills, and a keen analytical mind. Your attention to detail, administrative capabilities, and ability to manage complex legal projects will contribute significantly to our organization's success.
CORE RESPONSIBILITIES
  • Protect the company from legal risks and regulatory violations in all business transactions and develop risk-mitigation strategies.
  • Evaluate various company structures (corporation, joint venture, limited partnership, limited liability company) for legal rights and risks, making recommendations.
  • Conduct in-depth legal research and due diligence.
  • Assess projects, partnerships, mergers, divestitures, and acquisitions for potential legal issues.
  • Provide legal advice on corporate governance, policies, finances, intellectual property, employment, operations, and regulatory compliance.
  • Draft, review, and modify contracts, government and financial reports, and other legal documents as needed.
  • Negotiate on behalf of the company to create, amend, and execute deals.
  • Provide legal counsel during legal proceedings, administrative board reviews, and litigations when necessary.
  • Oversee support staff, paralegals, and external lawyers hired to assist.
  • Lead corporate legal processes such as mergers and transactions.
  • Develop company policies and positions on legal issues.
  • Research, anticipate, and mitigate legal risks.
  • Ensure compliance with rules and regulations including government contracting regulations.
  • Represent the company in legal proceedings, including administrative boards and court trials.
  • Draft and administer all contracts.
  • Negotiate deals and attend company meetings.
MINIMUM REQUIREMENTS
  • Bachelor's degree and a three-year law degree from an accredited law school.
  • Licensed to practice law and a member in good standing of the state bar association.
  • 3-5 years of experience as a corporate lawyer, staff attorney, associate attorney at a corporate law firm, or as in-house counsel.
  • Experience with federal contracting laws and compliance, as well as general business contracts.
  • Familiarity with corporate structures.
  • Knowledge of national regulations, mergers and acquisitions, and general corporate law.
  • Strong analytical, negotiation, and communication skills.
  • Willingness to occasionally travel for work.
  • Proof of eligibility to work in the United States and permanent residence in the United States.
This is a full-time, remote position. Candidates must live within the United States and will primarily be expected to work during Pacific Standard Time business hours. In addition, candidates will also be expected to attend major simulation conferences and/or in person closing meetings potentially as frequently as monthly.

  • Professional experience within the healthcare industry.
  • US DOD TS/SCI security clearance eligibility.
  • Familiarity with False Claims Act and other relevant Acts
  • Understanding of regional regulations and cross-border transactions.
COMPENSATION & BENEFITS
  • Target salary range: $175,000-225,000 annually; commensurate with experience
