Role Summary
The Senior Contract Specialist is responsible for drafting, reviewing, and managing a variety of contracts to support business operations. This person must have the ability to work with poise in an environment that requires quick turnaround, must display diplomacy, problem solving skills, resourcefulness and professionalism, and be comfortable interacting with senior management and customers. This position requires confidentiality, initiative, and sound decision making.
Responsibilities
- Manage the drafting and review of contracts
- Ensure SaaS contracts include appropriate terms, including terms related to subscription fees, usage limits, data privacy, intellectual property rights, termination clauses, and service level agreements (SLAs)
- Analyze customer needs and market conditions to develop tailored contract terms that balance customer satisfaction with company profitability.
- Collaborate with Sales, Privacy, QA, Tech/Ops, Finance, P&C and other internal stakeholders to ensure contracts align with business objectives.
- Manage a portfolio of active contracts, tracking key contract milestones and obligations.
- Proactively identify potential contractual risks and develop mitigation strategies.
- Draft and negotiate contract amendments, change orders, and addendums.
- Perform standard, advanced, and confidential administrative duties requiring broad experience, skill, and knowledge of organization policies and procedures related to customer contracting.
- Responsible for entering and maintaining customer contract information in systems in a timely and accurate manner.
- Responsible for receiving executed customer contracts, verifying the contract, notifying the appropriate parties, processing for counter-signature and returning fully executed customer contracts to the customer.
- Follow internal policies to ensure compliance.
- Conduct research, compile data, and prepare papers, presentations or reports for consideration and presentation to upper management.
- Develop and improve contract templates, policies, and procedures to enhance efficiency and reduce risks.
- Adhere to all company policies and procedures including, but not limited to those identified within the Standards of Business Conduct and the Employee Handbook, as may be amended from time to time. Adheres to all applicable laws and regulations and the company's governance/compliance program.
- Responsible for reporting violations of the company's policies and procedures, Standards of Business Conduct, governance program, laws and regulations through the company's Help Line or other mechanism that may be available at the time of the violation. Assists with internal control failure remediation efforts.
- Become knowledgeable of internal control responsibilities through training and instruction. Responsible and accountable for internal control performance within their area of responsibility. Participates in the internal controls self-assessment process.
- Ensure concerns with internal control design or performance and process changes that impact internal control execution are communicated to management.
- Other duties, tasks and projects as assigned.
Requirements
- Bachelor’s degree in business administration, legal studies, or a related field from a recognized college. Will consider five years experience/training or an equivalent combination in lieu of Bachelor’s degree.
- 5+ years of contract management experience, preferably in a corporate, legal, or procurement environment.
- Strong understanding of SaaS business models, pricing structures, and service delivery mechanisms.
- Proven negotiation skills and ability to effectively communicate complex legal terms to both technical and non-technical stakeholders
- Expertise in contract drafting and review, including familiarity with standard SaaS contract templates
- Excellent analytical and problem-solving skills
- Strong MS Office skills
- Strong work ethic with the ability to complete tasks and deliverables under tight deadlines while maintaining flexibility
- Ability to adjust to changing priorities
- Ability to anticipate needs and be proactive
- Advanced ability in organization, time management and planning skills
- Works well autonomously, while acting as a team-player in an environment that requires quick turnaround and quality output
- Communicates well both verbally and in writing, has good listening skills, builds strong relationships, is flexible/open-minded, negotiates effectively, solicits performance feedback and handles constructive criticism
